A. Basic Transaction Principles

  1. Please read the terms and conditions on the advertisement description page carefully before initiating an order with a counterparty to avoid unnecessary disputes.

  2. Please ensure the payment method selected when placing your order is the same as the one in the advertisement description.

  3. You should not participate in cryptocurrency transactions via third-party platforms, such as social media and messaging applications. TruBit Pro is not responsible for any losses or damages to assets caused by transactions conducted or initiated outside TruBit Pro. TruBit Pro shall set rules for transactions between buyers and sellers and only support user service experience on TruBit Pro. TruBit Pro has not been involved in any Peer-to-Peer (“P2P”) transactions.

  4. Users should refrain from using profanity or offensive language when using TruBit Pro. This includes but is not limited to live chat with other users and customer service representatives, as well as the order review.

  5. These terms shall officially take effect on the date they are published and shall be regularly revised or improved. The revisions or improvements shall take effect from the date they are posted.

  6. Please stop using TruBit Pro services immediately if you disagree with the revised or improved terms.

  7. Your continued use of TruBit Pro services indicates your complete understanding and acceptance of the above rules as revised or improved occasionally, as well as your voluntary agreement to be bound by such.

B. Overview of TruBit Pro

  1. TruBit Pro P2P Marketplace is a platform that allows users to trade Digital Assets with other users directly. You may switch on TruBit Pro to buy or sell Digital Assets as an Advertiser or a Taker.

  2. As an Advertiser, you may publish an offer on TruBit Pro to buy or sell Digital Assets (“Advertisement”). An Advertisement includes the amount of Digital Assets that you would like to trade, the price that you would like to exchange for your Digital Assets, the Order Limit, the payment method that you would like to use, the Payment Window, and other applicable terms and conditions for your offer. In consideration of the use of TruBit Pro, we may charge Advertiser fees as set out on our Fee Structure page. We may adjust the prices at our sole discretion from time to time.

  3. As a Taker, you may place an Order for an Advertisement published by indicating the amount of Digital Assets you want to trade. As a Taker, you must use a payment method supported by the Advertisement for which you are placing an Order and comply with the terms and conditions determined by the Advertiser. Unless expressly provided otherwise by TruBit Pro, Takers are not subject to fees when trading on TruBit Pro.

  4. You may be a Buyer or a Seller of Digital Assets on TruBit Pro regardless of whether you act as an Advertiser or a Taker.

  5. We may require you to satisfy specific eligibility criteria to publish an Advertisement on TruBit Pro, which TruBit Pro may amend occasionally.

  6. You understand and agree that placing an Order to an Advertisement on TruBit Pro represents your acceptance of the offer published in that Advertisement and constitutes a promise to trade Digital Assets. In such a case, TruBit Pro locks the amount of Digital Assets indicated in the Order until both parties of the transaction confirm the successful completion of the Fiat Currency transfer to be performed considering the Digital Assets. You understand that the locked amount of Digital Assets cannot be used in any way unless the Order is canceled or the Digital Assets are released to the Buyer upon confirmation of the Fiat Currency transfer by both the Buyer and the Seller.

  7. TruBit Pro is not a party to any transaction you may enter into on TruBit Pro as you will be directly trading with other users. TruBit Pro has no control whatsoever over the trading amount, price, payment method, Order Limit, Payment Window, and terms and conditions of each Advertisement as the Advertiser entirely sets them at its discretion. TruBit Pro only facilitates the transactions entered into on TruBit Pro as described in Article B.4. above.

C. Notice to Buyers

After an order is created, the Buyer shall:

  1. Select the payment method supported by the seller and transfer the amount shown on the order page within the time limit provided by the seller. Be sure to tap/click the "Payment Complete" button after completing the payment.

  2. Make the payment in real-time using your verified payment method in the amount specified to the beneficiary's account specified in the order. Non-real-time payment methods may only be selected with the seller's consent, and TruBit Pro shall not assume any risk or liability.

  3. Do not click the "Payment Complete" button until payment is complete. Your account may be frozen if you tap/click the "Payment Complete" button when the payment has not been completed.

  4. Do not use sensitive words or phrases related to digital currency in the remarks field/section when paying the seller in legal tender. This includes, without limitation, words or phrases like USDT, Cryptocurrency, and TruBit Pro purchase.

  5. Communicate with the seller via the chat feature first if the seller does not send you the digital assets within the specified time (hereinafter referred to as "Delivery") after you have sent the payment and clicked "Payment Complete." You may only file a dispute against the seller once compliance with TruBit Pro’s guidelines is confirmed and the procedures specified by TruBit Pro are correctly performed (including providing relevant legal proof in compliance with TruBit Pro’s requirements) and the seller does not reply. The P2P team is available to assist with user complaints upon request and in compliance with complaint management guidelines. However, TruBit Pro shall not be deemed a party to the P2P transaction. Therefore, TruBit Pro is not obliged to intervene in any P2P transaction disputes between users. TruBit Pro is entitled to the final interpretation and determination of the penalty in all disputes. Disputes will be reopened at TruBit Pro's discretion on a case-by-case basis.

  6. In the event of a violation of the Notice to Buyers, TruBit Pro may take any action it deems appropriate in accordance with these Terms of Use, or applicable law, including freezing the violator's account or disabling any account functionality on TruBit Pro's transaction Platform.

  7. The buyer's transaction instructions shall not conflict with these Terms of Use when placing advertisements.

D. Notice to Sellers: TruBit Pro does not support payments made from non-verified accounts

After an order is generated, the seller shall ensure:

  1. The account holder's name for the account receiving the payment matches the registered name in TruBit Pro (disputes will be reopened with the KYC name on TruBit Pro).

  2. After confirming receipt of full payment from the buyer, we recommend Merchant (Seller) confirm the release of Digital Assets within fifteen (15) minutes or in a reasonable period upon receiving the Fiat Currency payment from the Buyer in full. (releasing cryptocurrency to the buyer, excluding the link confirmation time).

  3. Neither party is entitled to request customer service support to cancel an order without the buyer's consent unless otherwise provided by TruBit Pro.

  4. Pricing for confirmed orders between the Seller and Buyer is considered final and non-negotiable.

  5. Please ensure you stay connected through the cell phone number or email registered on TruBit Pro in case of incomplete orders or buyer disputes.

  6. The seller is required to provide proof of the transaction from the service provider to show the amount deducted by the payment service provider if the payment service provider charges additional fees.

  7. The seller's transaction instructions must not conflict with these Terms of Use when placing advertisements.

  8. In the event of a violation of the Notice to Sellers, TruBit Pro may take any action it deems appropriate in accordance with these Terms of Use, or applicable law, including freezing the violator's account or disabling any account functionality on TruBit Pro or the transaction platform.

E. Choice of Payment Method

  1. Payment methods available on TruBit Pro are displayed as options available to users to perform the Fiat Currency transfer in consideration of the trade of the Digital Assets. Unless expressly provided otherwise, TruBit Pro has no relationship with the payment methods listed on TruBit Pro. The availability of a payment method on TruBit Pro shall not be construed as a recommendation, vetting, or endorsement by TruBit Pro.

  2. To be able to trade on TruBit Pro, each Advertiser must indicate one or multiple payment method(s) for their Advertisements, which must be a payment method available in TruBit Pro, and each Taker placing an Order to such Advertisement must agree to use one of the payment method(s) indicated by the Advertiser for the Fiat Currency transfer to be completed in consideration of the trade of the Digital Assets.

  3. Each party trading on TruBit Pro must have a payment method with an account owner name identical to the name appearing on their TruBit Pro Account, as confirmed during the identity verification process. Using any payment method where the account owner's name is not identical to the name appearing on your TruBit Pro Account is prohibited. TruBit Pro reserves the right to suspend or terminate your access to TruBit Pro if it is identified that you used a payment method with an account owner's name that is not identical to the name appearing on your TruBit Pro Account.

  4. You understand and agree that by placing an Order to an Advertisement on TruBit Pro either as a Buyer or a Seller, you authorize TruBit Pro to display your username/ merchant name and share your full name as confirmed in the identity verification process of your TruBit Pro Account with the counterparty user that you are trading with.

  5. If you are a Buyer, you must make the Fiat Currency transfer in consideration of such Digital Assets after placing an Order within the Payment Window indicated in the Advertisement. The Fiat Currency to be transferred to the Seller will not be deducted by TruBit Pro. You are solely responsible for making the transfer yourself outside of TruBit Pro, using one of the payment methods indicated in the Advertisement. Once you complete the Fiat Currency transfer, you must confirm such transfer by clicking the “Paid, Notify Merchant” button. You may lose access to all or part of TruBit Pro if you cancel orders after placing them or your orders are repetitively canceled automatically due to your failure to make a Fiat Currency transfer within the Payment Window.

  6. If you are a Seller, you are solely responsible for verifying the Fiat Currency transfer made by the Buyer in consideration of the Digital Assets and for providing instruction to TruBit Pro to release the Digital Assets for which an Order was placed. To release such Digital Assets, click “Payment received” after fully receiving the Fiat Currency payment from the Buyer. We recommend you confirm the release of Digital Assets within fifteen (15) minutes and reasonable period upon receiving the Fiat Currency payment from the Buyer in full. By clicking “Payment received” you are confirming that you successfully received the Fiat Currency transferred from the Buyer. You are instructing TruBit Pro to release Digital Assets held in escrow to the Buyer for completion of the Order. This action is final and cannot be reversed. To avoid financial loss, do not confirm release of the Digital Assets under any circumstances before you ensure that you receive the corresponding Fiat Currency from the Buyer in full. All payments are final upon completion unless otherwise required by law. In case the account holder information of the Buyer that you see on the payment method through which the Fiat Currency transfer was made is inconsistent with the user’s verified identity information appearing on TruBit Pro, you should not release the Digital Assets and make a refund of any Fiat Currency that you may have received. You may lose access to all or part of TruBit Pro in case you repeatedly fail to confirm the release of Digital Assets in a timely manner despite receipt of the Fiat Currency transfer from the Buyer.

  7. By trading on TruBit Pro, the Buyer agrees to bear any Transfer Fees that the respective payment service provider may charge for the payment method selected by the parties for the Fiat Currency transfer to be made in consideration of the Digital Assets unless the Seller has explicitly agreed to bear such additional fees or costs. Therefore, the Fiat Currency to be transferred by the Buyer as consideration of the traded Digital Assets must be inclusive of any Transfer Fees to ensure that the Seller receives the total Fiat Currency amount as appearing in the Order (e.g., if the order amount is 10,000 USD, and an additional 5 USD is charged by the payment service provider of the selected payment method, 10,005 USD should be paid by the Buyer, instead of 10,000 USD). Suppose the respective payment service provider charges such Transfer Fees to the Seller. In that case, the Seller should disclose them in the Advertisement (if the Seller is the Advertiser) or provide the Buyer with proof of such Transfer Fees prior (if the Seller is the Taker).

  8. Depending on your location and the value of the Digital Assets that you would like to trade on TruBit Pro, you may be able to do the Fiat Currency transfer in cash or you may be able to apply to post Advertisements where the Payment Method is set as cash (“Cash Merchant”). You may need to agree to additional terms and conditions to become a Cash Merchant. You understand and agree that choosing to make the Fiat Currency transfer in cash may expose you to unpredictable security risks, such as robbery and counterfeit bills. If the offender is a TruBit Pro verified user, we will block withdrawals and services for the TruBit Pro Account of such user; however, TruBit Pro is not liable in any way whatsoever (including but not limited to liability in contract, tort including negligence, misrepresentation, restitution or otherwise) for any losses, damages, loss of profits, loss of sales or business, loss of agreements or contracts, loss of anticipated savings, loss of or damage to goodwill and indirect or consequential loss that may result from these risks. You must contact your local law enforcement authorities to protect your legal rights and interests and seek compensation from the offender.

F. P2P Express

  1. P2P Express allows Takers to place an order directly by indicating the amount of Fiat Currency or Digital Assets they would like to trade on TruBit Pro and their preferred payment method. The Orders placed using P2P Express will be automatically matched with existing Advertisements posted on TruBit Pro by Verified Merchants based on the best available price. You understand and agree that by using P2P Express, you allow TruBit Pro to choose for you the Advertisement offering the best available price for your preferred payment method, you will not have access to all Advertisements published on TruBit Pro, and you will not have the possibility to select the Advertisement for which you will place an Order.

G. Appeal Procedure

  1. TruBit Pro is not a party to the Digital Assets trade between the Buyer and the Seller. TruBit Pro has neither the right nor the obligation to resolve any disputes between the Buyer and the Seller and is not liable for any loss you may incur with completed payment.

  2. However, in case of a conflict during a trade on TruBit Pro that the parties cannot solve by directly contacting each other through the Chat Service made available by TruBit Pro, TruBit Pro offers both parties the opportunity to file an appeal. You understand and agree that the appeal mechanism offered by TruBit Pro is not a representation, undertaking, or guarantee from TruBit Pro in any way whatsoever to resolve the disputes between the parties and has the sole purpose of offering a mediation channel to the users. TruBit Pro reserves the right to suspend or terminate access to TruBit Pro for users who are uncooperative during the appeal process. You may lose access to all or part of TruBit Pro if your posted advertisement has multiple ongoing appeals.

  3. TruBit Pro hereby reserves the right of any final interpretations and judgments for sanctioning appeal cases. The reopening of appeals will be determined at the sole discretion of TruBit Pro on a case-by-case basis.

H. Ratings, usernames, and Communications between users

  1. After completing a Digital Asset trade on TruBit Pro, you may be asked to rate and write feedback for the counterparty to share your experience. The rating and feedback mechanism intends to create a respectful, safe, and transparent environment for all users. Your rating is visible to any user trading on TruBit Pro, which may affect whether they decide to trade with you. You can see your current rating on TruBit Pro. You may lose access to all or part of TruBit Pro if your rating is below the acceptable rating level determined by TruBit Pro at its sole discretion. You will be notified if your account is subject to such restriction, and we may share information that may help you improve your rating.

  2. You shall not include the name “TruBit Pro,” names of any banks, payment service providers, or any other wordings that may be misleading or sensitive in your username.

  3. You shall not share any personal information, social network details or other contact information in the terms and conditions for an Advertisement when using the Chat Service or in any other way when trading with other users on TruBit Pro.

  4. In TruBit Pro, you may view content or utilize services provided by third parties, including hyperlinks to the third party's websites and services of such parties (the “Third Party Content''). We do not endorse, adopt or control any Third Party Content and will have no responsibility or liability for such Third Party Content whatsoever. Your dealings or correspondence with such third parties are solely between you and the third parties. We are not responsible or liable for any loss or damage incurred due to such dealings. You understand that using Third Party Content and interacting with third parties is solely at your own risk.

I. Anti-Money Laundering Principles

  1. Users shall follow TruBit Pro's identity verification management requirements for user identities and accounts and ensure that the accounts displayed on TruBit Pro are legally registered and used by them.

  2. Users should actively cooperate with TruBit Pro for verification and assist in providing the necessary risk control documentation (subject to the risk control measures being in effect then) when TruBit Pro has reason to suspect money laundering.

  3. TruBit Pro can disable all or part of the user's account functionality if they do not comply.

  4. The user is responsible for ensuring they are legally entitled to conduct the transactions pursuant to applicable law. TruBit Pro is not liable for the legality or illegality of user transactions. Although TruBit Pro is not a part of any P2P transactions between users, to ensure that all transactions are legally compliant, TruBit Pro may (but is not obligated to) review the legality of transactions conducted by users and their compliance with applicable local laws when necessary.

J. Suspicious Trading Behavior

  1. You acknowledge that we reserve the right to disclose your contact details to any Regulatory Authority if we reasonably suspect your TruBit Pro Account is being used for illegal, fraudulent, or unauthorized activity.

  2. You agree that, to the fullest extent permitted by applicable law, TruBit Pro will not be liable for your losses resulting from P2P transactions or the use of services under these Terms of Use, including but not limited to hacker attacks, power outages, or unavoidable technical failure, except in the case of TruBit Pro's willful misconduct or gross negligence.

  3. TruBit Pro reserves the right to immediately restrict, suspend, or terminate your account or service access without prior notice at its sole discretion in the following circumstances:

  4. There are reasonable grounds to doubt that you violated or attempted to violate this Terms of Use;

  5. We find that you conduct P2P transactions through multiple accounts;

  6. It is necessary for the protection of other users. We will not be liable for any failure to provide you with service access, including any potential delay, damage, or inconvenience if we exercise our rights and restrict or block your access to our service.

  7. We confirm that you are using our TruBit Pro in a manner that has the potential to negatively impact other users' ability to use our service or to prevent them from using it;

  8. It is alleged that an offender violated or attempted to violate the legal rights of others (including, but not limited to, other users' privacy and intellectual property rights such as marketing) through the use of abusive language, insults, blackmail, harassment, threat, or any other manner during interaction with other users, and then distributed personal data collected to any other party.

  9. You authorize us to take specific actions, such as restricting access to, suspending, or closing your account or wallet, in accordance with the confidential criteria essential to risk management and security agreement. You acknowledge that TruBit Pro is not obligated to disclose detailed information about its risk management and security procedures.

  10. We will immediately lift the suspension if the reason for it has ceased to exist. However, we are not required to notify you of the date (if applicable) on which the suspension will be lifted.

Irregular Transaction

Management Rules

  • The system will deny the buyer the ability to purchase if the buyer cancels the purchase orders created or cancels purchase orders automatically three times a day due to overdue payment without the seller's or TruBit Pro's prior consent. If the above restriction is triggered for two consecutive days, the system will further restrict other features of the buyer's account.

  • The seller reserves the right to cancel a purchase order if the buyer clicks "Paid" but does not complete the transaction. If a buyer is penalized twice daily, the system will disable certain features of the buyer's account.

  • The seller could reject the transaction if the buyer did not pay using the payment account registered under the buyer's real name on the TruBit Pro. The seller may issue a refund within 48 hours of payment receipt, and the seller retains ownership of the digital assets.

  • It shall be deemed as paying with a non-real name if the payment is made with a corporate bank account (whether the actual name of the legal person and that of the authenticated buyer are the same). If a buyer is penalized twice due to the circumstances above, the system will restrict certain features of the buyer's account.

  • The payment amount is not identical to the amount of the purchase order.

  • The purchase order is typically processed, subject to the buyer's consent to negotiate the purchase order price. The seller must deliver the asset within the period specified in the purchase order.

  • The seller collection account is incorrect following the buyer's payment.

  • The seller will refund within 48 hours of resolving the collection account, and TruBit Pro will cancel the purchase order if the buyer cannot demonstrate that the collection account is valid.

  • The purchase order will be placed and the digital assets will be delivered once TruBit Pro verifies that the seller's account is valid and the seller can demonstrate that his account is valid.

Trigger Risks Control

Irregular Circumstances

Management Rules

  • TruBit Pro may determine an account to be irregular directly if the risk control system detects an irregularity and the user expressly declines or is unwilling to cooperate with TruBit Pro in conducting anti-money laundering or anti-terrorist financing inspections and may take actions such as increasing the user’s risk level and directly freezing the user's account and other associated accounts until the user's evidence for risk control is approved by risks control.

  • When TruBit Pro’s risk control system determines that a user may be suspected of fraud (or attempted fraud), transferring money to a high-risk platform (including, but not limited to, an unlicensed e-commerce platform, an online casino platform, or a suspected fraud platform) for money laundering, performing other low-risk control functions, or transferring other high-risk assets. Notification of Risk: To avoid unnecessary property losses, please do not connect TruBit Pro to such platforms for marketing.

  • TruBit Pro reserves the right to directly freeze or disable transactions, withdrawals, and even all P2P features associated with the account or associated accounts.

  • Users do not use the account or purchase digital assets illegally on behalf of others. For instance, TruBit Pro may discover that the user illegally sells, lends, or leases its account to others or purchases digital assets on behalf of others. Notification of Risk: Please save your data correctly to avoid using it for criminal purposes by others.

  • TruBit Pro may choose to take more than 1 measure, including but not limited to temporarily or permanently disabling the P2P transaction feature, disabling or delaying the withdrawal of funds, and freezing the user accounts and accounts associated with the user.

  • Receiving or adding illegal digital assets or funds: Users who transfer funds to other users' accounts, despite knowing or being able to reasonably infer that these digital assets and funds received from other platform groups have been obtained illegally.

  • TruBit Pro may permanently disable some or all features for these user accounts and the accounts associated with these users, terminate any services provided to the user, or refuse to perform any contractual/agreed obligations under the agreement with the user.

  • Users identified as engaging in money laundering: Users identified by the risk management system or by a risk management employee as directly involved in or assisting in money laundering activities.

  • TruBit Pro may permanently disable some or all features for these user accounts and the accounts associated with these users, terminate any services provided to the user, or refuse to perform any contractual/agreed obligations under the agreement with the user.

  • Account Freezing: User accounts are frozen by a law enforcement agency.

  • TruBit Pro may freeze a user's account upon receiving formal orders issued by a law enforcement agency or pursuant to law. Users should contact the appropriate law enforcement agency rather than TruBit Pro to resolve this issue if their accounts get frozen.

  • Criminal investigation: A law enforcement agency requires to search for user's account information on TruBit Pro, including, without limitation during criminal investigations or legal consultations.

  • TruBit Pro may disable some features for user accounts and accounts associated with the user.

K. Risk Disclosure

  1. Digital Assets prices can be volatile. These fluctuations may affect the value of Digital Assets you buy or sell on TruBit Pro, which may be lower or higher at the time of and after completion of the transaction. You are solely responsible for your investment decisions, and TruBit Pro is not liable for any losses you may incur. You are fully aware of the risks inherent in P2P transactions, including, but not limited to, the fluctuation in the value of digital assets, the creditworthiness of the counterparty to a P2P transaction, and the compliance risk associated with legal currency transactions.

  2. You possess sufficient investment knowledge and experience, can assume the risks associated with P2P transactions, and agree to assume sole liability for all P2P transactions.

  3. You shall not include any personal data (including social media and messenger) in the transaction conditions or automated reply messengers for the sake of both parties' security.

  4. It is prohibited to conduct P2P transactions using multiple accounts. If we discover such accounts, we reserve the right to prevent all associated user accounts from conducting transactions.

  5. You have read and understood these Terms of Use, consulted with professionals, and independently determined whether and how to conduct P2P transactions based on their recommendations before conducting P2P transactions.

  6. TruBit Pro is not involved in the P2P transaction. As a result, any disputes arising between users regarding P2P transactions are unrelated to TruBit Pro. TruBit Pro has neither the right nor the obligation to resolve any disputes that may arise. TruBit Pro shall not assume any financial or other obligation or liability to any party (including without limitation indemnification).

  7. You agree and authorize TruBit Pro to take any reasonable action (including, without limitation, canceling transactions or disabling account features in certain circumstances) to protect the legal rights of yourself, TruBit Pro, and any other users in accordance with these Terms of Use.

  8. Please remember that the payment method displayed on TruBit Pro P2P represents the users' legal currency transaction options. TruBit Pro will have no business relationship with the payment method displayed on TruBit Pro.

L. Definitions

  • "Advertiser" means a user publishing an Advertisement. An Advertiser may also be referred to as "Merchant" or "Maker" from time to time.

  • "Advertisement" or "Ads" means an offer published on TruBit Pro that includes the amount of Digital Assets that the user would like to trade, the price for such Digital Assets, the payment method that the user would like to use when trading, the Order Limit, the Payment Window, and other applicable terms and conditions for the offer as determined by the user publishing the offer.

  • "Buyer" means a user trading on TruBit Pro to purchase Digital Assets as an Advertiser or a Taker.

  • "Cash Merchant" has the meaning given to it in Article E.8.

  • "Order" means a promised trade of Digital Assets on TruBit Pro that the Advertiser and the Taker have agreed upon based on the terms and conditions listed in the relevant Advertisement. An Order represents an acceptance of the offer to trade published in an Advertisement.

  • "Order Limit" means the minimum and maximum amount of Digital Assets or Fiat Currency that Takers can trade in a single Order, as determined in a specific Advertisement by the Advertiser.

  • "P2P" means Peer-to-Peer.

  • "Payment Window" means the period set by the Advertiser within which the Fiat Currency transfer in consideration of the Digital Assets should occur.

  • "Seller" means a user trading on TruBit Pro to sell Digital Assets as an Advertiser or a Taker.

  • "Taker" means a user who places an Order for an Advertisement previously published by an Advertiser.

  • "Third Party Content" has its meaning in Article H.4.

  • "Transfer Fees" means the sum of all fees or charges imposed by the payment service provider of the payment method selected by the parties in consideration for the transfer of Fiat Currency from the Buyer to the Seller.

  • "Verified Merchant" has the meaning given to it in Article B.6.
